Terms of Service

This is the agreement between SilverForge LLC and the company using SilverCommand. It is written to be read, not to be survived.

1. The agreement

These terms are a binding contract between SilverForge LLC ("SilverForge", "we") and the business entity that creates a SilverCommand account ("Customer", "you"). By creating an account, signing an order form, or using the service, you accept them. If you are accepting on behalf of a company, you confirm you have authority to bind it.

2. What the service is

SilverCommand is hosted software for running security guard operations: scheduling, shift and post management, clock-in and clock-out records, incident and daily-activity reporting with photo evidence, alarm dispatch and response tracking, equipment records, and a portal through which your clients can view reports you have approved. We provide it as a subscription. We may improve, change, or retire individual features; we will not materially reduce core functionality during a paid term without notice.

We may suspend an account that is causing harm to the service or to other customers. Where practical we will warn you first and give you a chance to fix it.

5. Your data

Your data is yours. You own everything you and your users put into SilverCommand — reports, evidence, schedules, site records, client information. We claim no ownership of it. We hold a limited licence to process it solely to operate the service for you, and for nothing else. We do not use it to train models, and we do not sell it.

You can export your data at any time while your account is active. On cancellation, export remains available for 30 days. Our handling of personal information is set out in the Privacy Policy, which forms part of these terms.

You are responsible for what your users record. Reports written in SilverCommand may end up in an insurance claim or a courtroom; accuracy is your obligation, not ours.

6. Our intellectual property

SilverForge owns the SilverCommand software, its design, and its documentation. You get a non-exclusive, non-transferable right to use it during your subscription. Feedback you send us we may act on freely and without obligation, but feedback never gives us rights over your data.

8. Availability and support

We target 99.5% monthly availability, excluding scheduled maintenance announced in advance and events outside our reasonable control. Support is provided as described on the Support page. Planned maintenance is scheduled outside peak hours where possible; security patching may occasionally require shorter notice.

9. Beta and early-access features

Features labelled beta, preview, or early access are provided as-is, may change or be withdrawn, and are excluded from any availability commitment. Do not rely on them for a legally required record without keeping your own copy.

10. Third-party services

The service uses third-party providers for payment processing, email delivery, and hosting. Their handling of data is governed by their own terms. We are not responsible for outages or acts of third-party providers, though we will work in good faith to route around them.

11. Warranty disclaimer

Except as expressly stated in these terms, the service is provided "as is" and "as available". SilverForge disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

Said plainly and importantly: SilverCommand is a record-keeping and coordination tool. It is not a life-safety system, an alarm monitoring centre, or an emergency dispatch service. It must not be relied upon as the sole means of responding to an emergency. Call emergency services when there is an emergency.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or goodwill, even if advised of the possibility. SilverForge's total aggregate liability arising out of or relating to these terms is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim.

These limits do not apply to your obligation to pay fees, to either party's indemnification obligations, or to liability that cannot be limited by law.

13. Indemnification

You will defend and indemnify SilverForge against third-party claims arising from your use of the service in breach of these terms or applicable law, or from the content your users put into it. We will defend and indemnify you against third-party claims that the service as provided by us infringes a US patent, copyright, or trademark, provided you notify us promptly and let us control the defence.

Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these terms. This does not cover information that is public, independently developed, or lawfully received from a third party. Disclosure compelled by law is permitted with notice to the other party where legally allowed.

16. Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email to account administrators and by posting the revised version here. Continuing to use the service after the effective date constitutes acceptance. If you do not accept, cancel before the date and we will refund any prepaid unused fees.

17. Governing law and disputes

These terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in Montgomery County, Ohio. Before filing, both parties agree to attempt resolution in good faith for 30 days after written notice of the dispute.

18. General

These terms, together with the Privacy Policy and any order form, are the entire agreement between us and supersede prior discussions. If a provision is held unenforceable, the rest stays in force. Failure to enforce a provision is not a waiver of it. You may not assign these terms without our consent, except to a successor of your business; we may assign them in connection with a merger or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control. Nothing here creates a partnership, agency, or employment relationship. Notices to us go to the address below; notices to you go to your account administrator's email.
